Both the Company and the Client agree to comply with the Health Insurance Portability and Accountability Act (HIPAA) and all applicable state and federal laws regarding the privacy and security of Protected Health Information (PHI).
- Business Associate Agreement (BAA): Access to our services is contingent upon the execution of a BAA, which outlines our specific responsibilities regarding the handling of PHI.
- Data Accuracy: The Client is responsible for the accuracy and legality of the data provided to us for billing purposes.
3. Client Obligations
To ensure the effectiveness of our billing services, the Client must:
- Provide timely and accurate patient information, encounter forms, and insurance data.
- Maintain the necessary licenses and credentials to practice medicine or provide healthcare services.
- Comply with all billing and coding regulations applicable to their specific medical field.
4. Fees and Payment
- Service Fees: Fees for services are outlined in the specific Service Agreement signed by the Client.
- Payment Terms: Invoices are due upon receipt unless otherwise specified in writing.
- Late Payments: We reserve the right to suspend services or apply late fees for accounts that remain unpaid beyond the agreed-upon term.
5. Intellectual Property
All content on the Manifest Technology Solutions website—including logos, text, software, and proprietary billing methodologies—is the property of the Company and protected by copyright and intellectual property laws. Users may not reproduce, distribute, or create derivative works without express written consent.
6. Limitation of Liability
Manifest Technology Solutions strives for 100% accuracy in billing and coding. However:
- We are not responsible for claim denials resulting from inaccurate information provided by the Client.
- To the maximum extent permitted by law, Manifest Technology Solutions shall not be liable for any indirect, incidental, or consequential damages (including loss of revenue) arising out of the use of our services.
- Our total liability for any claim shall not exceed the total fees paid by the Client to the Company during the three (3) months preceding the claim.
7. Term and Termination
- Duration: These Terms remain in effect as long as you use our website or services.
- Termination: Either party may terminate a service agreement according to the notice period defined in that specific contract. We reserve the right to terminate access to our digital platforms immediately if these Terms are violated.
